Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Emes Invoices, including our website, applications, software, and related services (collectively, the “Service”).

By creating an account, accessing, or using the Service, you agree to these Terms. If you are using the Service on behalf of a company or other organization, you represent that you are authorized to accept these Terms on its behalf.

1. The Service

Emes Invoices provides software tools designed to help distribution businesses manage operations, including invoicing, customers, products, inventory, purchase orders, sales, payments, accounts receivable, consignment, routes, deliveries, vendors, reporting, and related business activities.

Features may be added, modified, improved, or discontinued as the Service develops.

2. Accounts and Authorized Users

You are responsible for providing accurate account information and maintaining the confidentiality and security of your login credentials.

You are responsible for activity performed through your account and for users you authorize to access your business workspace, including administrators, employees, sales representatives, delivery drivers, vendors, and other users.

You must promptly notify Emes Invoices if you believe an account has been accessed or used without authorization.

3. Your Business Data

You retain ownership of the business information and content you submit to the Service (“Customer Data”).

Customer Data may include customer information, products, invoices, inventory records, pricing, payments, routes, delivery information, vendor information, reports, uploaded documents, and other business records.

You grant Emes Invoices the limited rights necessary to host, process, transmit, back up, and otherwise use Customer Data to operate, maintain, secure, support, and improve the Service.

You are responsible for ensuring that you have the legal right to collect, upload, and use Customer Data through the Service.

4. Accuracy of Information

Emes Invoices provides tools for managing business information but does not independently verify the accuracy of information entered by users.

You are responsible for reviewing invoices, prices, quantities, inventory counts, tax information, payment records, customer balances, reports, delivery information, and other records before relying on them.

5. Payments and Financial Records

Certain features may allow you to record, track, or facilitate payments and financial information.

Unless expressly stated otherwise, Emes Invoices is not a bank, accounting firm, tax adviser, payment processor, or financial institution.

You remain responsible for your accounting records, tax obligations, payment reconciliation, and compliance with applicable financial and tax requirements.

Third-party payment services may be governed by additional terms imposed by their respective providers.

6. Subscriptions and Billing

Certain features of Emes Invoices may require a paid subscription.

Pricing, billing frequency, included features, usage limits, trial periods, and other subscription details will be disclosed when you select a plan.

Unless otherwise stated at purchase, subscriptions may renew automatically until canceled. You may cancel according to the cancellation options provided with your account or subscription.

Fees already incurred are non-refundable except where required by law or expressly stated otherwise.

We may change subscription pricing or plan features by providing reasonable notice when required.

7. Vendor and Restricted Access

Emes Invoices may allow businesses to provide vendors, employees, drivers, sales representatives, or other parties with restricted access to certain information.

The business account administrator is responsible for assigning appropriate users, permissions, and access levels.

Users may access only information and functionality they are authorized to access and must not attempt to bypass access restrictions or access another business’s workspace or data.

8. Acceptable Use

You may not use the Service to violate applicable law; access another user’s or company’s data without authorization; interfere with or disrupt the Service; introduce malicious software; circumvent security or access controls; impersonate another person or organization; scrape or systematically extract information from the Service without authorization; or use the Service to facilitate fraudulent, deceptive, or abusive activity.

We may restrict or suspend access when reasonably necessary to protect the Service, our users, or others.

9. Third-Party Services

The Service may integrate with third-party products and services, including payment processors, email providers, authentication providers, mapping services, accounting platforms, and other business applications.

Third-party services are governed by their own terms and privacy practices. Emes Invoices is not responsible for the availability, performance, or actions of independent third-party services.

10. Security

We use reasonable administrative, technical, and organizational measures designed to protect the Service and Customer Data.

However, no internet-based service or data-storage system can guarantee absolute security. You are responsible for using appropriate passwords, protecting account credentials, controlling authorized users, and promptly reporting suspected unauthorized access.

11. Service Availability

We aim to provide a reliable Service, but we do not guarantee that Emes Invoices will always be available, uninterrupted, secure, or error-free.

The Service may occasionally be unavailable because of maintenance, upgrades, technical failures, third-party outages, security events, or circumstances outside our reasonable control.

12. Intellectual Property

Emes Invoices and its software, design, branding, interfaces, documentation, technology, and other proprietary materials are owned by Emes Invoices or its licensors and are protected by applicable intellectual-property laws.

These Terms do not transfer ownership of Emes Invoices intellectual property to you.

You may use the Service only as permitted by these Terms and your applicable subscription.

13. Suspension and Termination

You may stop using the Service at any time.

We may suspend or terminate access if an account materially violates these Terms, creates a security or legal risk, fails to pay applicable fees, or uses the Service in a manner that could harm Emes Invoices, its infrastructure, or other users.

Where reasonably practicable, we will provide notice before terminating an account for a curable violation.

14. Disclaimer

To the extent permitted by applicable law, the Service is provided on an “as is” and “as available” basis.

Emes Invoices does not guarantee that the Service will meet every business requirement or that calculations, reports, integrations, routes, inventory records, or other outputs will always be complete or error-free.

You remain responsible for reviewing business decisions and records generated or maintained through the Service.

15. Limitation of Liability

To the maximum extent permitted by applicable law, Emes Invoices and its owners, officers, employees, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, or data arising from or related to use of the Service.

To the maximum extent permitted by applicable law, Emes Invoices’ aggregate liability arising out of or relating to the Service will not exceed the amount paid by you to Emes Invoices during the twelve months immediately preceding the event giving rise to the claim.

Some jurisdictions do not permit certain limitations of liability, so some of these limitations may not apply to you.

16. Changes to the Service or Terms

We may update these Terms as the Service evolves or as legal or operational requirements change.

When changes are material, we will provide notice as required by applicable law. The updated Terms will state their effective or “Last updated” date.

Continued use of the Service after updated Terms become effective constitutes acceptance of the updated Terms where permitted by law.

17. Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law principles, except where applicable law requires otherwise.
